1. Parties and covered product
This agreement is between Oddity Software LLC (Oddity) and the purchaser identified in the Oddity order (Licensee). It covers only the database product, release version, Master package, included files and price named in that order (Licensed Product). The order and an expressly identified product addendum form the product schedule. A person buying for an organization represents authority to bind it. Oddity grants a non-exclusive, non-transferable license to its own contributions in the Licensed Product; ownership of the underlying product is not transferred.
2. Permitted use and client handoff
Licensee may download the Master package while its release remains the current public version and may retain lawfully downloaded files for permitted use afterward. Licensee may copy, import, clean, transform, merge, analyze, back up and publish the data through customer-facing websites, applications, maps, reports and client projects. Employees and supervised contractors may access it for Licensee's work. Licensee may give a client the raw or transformed dataset as part of a genuine client engagement or project handoff, provided the client receives required source notices, is told the release/version and applicable restrictions, and agrees not to redistribute Oddity's protected package as a standalone dataset unless independently authorized. Licensee remains responsible for the permissions and notices it promises to clients.
3. Redistribution boundary
Master permits project-related client handoff, including the data files needed to maintain the delivered project. It does not authorize a standalone raw-data download storefront, sale of substantially the same dataset as a catalog product, mass sublicensing, or a general right for downstream recipients to relicense Oddity-owned contributions. Those rights require an express product-specific written addendum. Licensee may publish useful data-driven results without exposing a bulk substitute for the Licensed Product outside permitted client handoffs. No copyright assignment or upstream-provider endorsement is included.
4. Sources and notices
Every applicable source notice and third-party license supplied with the release must be retained and passed to a recipient when required. This agreement governs Oddity's own contributions and service; it does not curtail separate rights under Apache, CDLA, CC0, public-domain status or another applicable source grant. A product addendum may restrict Oddity's grant or specify source compliance for that product, but cannot erase independent upstream rights. Licensee must evaluate source conditions before a client handoff.
5. Versions, downloads and update offer
This license covers the ordered release only. Downloads are unlimited while that release remains the current public version and the order remains eligible. A newer public release ends old-release download access but does not automatically end permitted use of files already obtained. A later version requires purchase; when Oddity offers a Master update, the current price policy is one quarter of the catalog Usage price for the target product, with no 30-day purchase window. An update offer is not an entitlement until completed. Oddity may suspend delivery for refund, payment reversal, fraud, security risk or material breach. No refresh frequency, custom format, service level or future offer is promised unless expressly stated in a listing or separate agreement.
6. Lawful use and responsibility
Licensee is responsible for data accuracy checks, security of controlled files, its client contracts, and all laws governing use and downstream handoff. Contact data does not prove consent to contact a person. Fraud, harassment, discrimination, unlawful surveillance, unauthorized access and false source endorsement are prohibited.
7. Term, remedies and general terms
The grant begins on fulfillment and continues for the purchased release unless terminated for material breach, nonpayment or valid refund or reversal. Where practicable, Oddity will give reasonable notice and a chance to cure a remediable breach. On termination, Licensee must stop uses dependent on this grant and delete controlled copies except records it must legally retain; independent upstream rights survive. The Terms of Service and Return and Digital Purchase Policy govern site, account, payment and dispute administration subject to mandatory law. Data is provided as-is except for express commitments in the listing or order. Applicable warranty and liability limits, governing law and dispute process are those stated in the Terms of Service to the extent lawful. No trademark right is granted. A later revision does not silently alter this purchased grant.
8. Record and precedence
For new orders, Oddity should retain the exact published revision and digest accepted at checkout, the order's product/release schedule and any addendum. For an earlier chart-only order recorded as Master, Oddity extends this published Master grant to that order's purchased product and version from this revision's publication date. The original chart remains purchase-era evidence; Oddity does not claim the customer accepted this document at the earlier checkout. Uses before publication are assessed under the terms then presented. A future revision may add rights for an earlier holder but may not reduce this grant without that holder's assent. Mandatory law and independent upstream rights control first; an expressly accepted product addendum controls Oddity-specific exceptions; this purchased license controls its grant; general Terms of Service cover remaining site and account matters. Future addenda require express acceptance.
